Assess applicability from the investment history
Prepare a history of inward and outward investment and the positions outstanding at the relevant reporting date. A year with no fresh remittance can still require an applicability review where investment remains outstanding. Do not decide solely from the current year’s bank receipts.
Identify the entity category and the relevant RBI reporting instructions. Special reporting arrangements for funds or other categories should not be copied into a company’s return without checking their scope. Keep the basis for a non-filing conclusion as well as a filing decision.
Separate FLA from transaction reporting
The annual foreign-liabilities-and-assets return is distinct from filings for an issue or transfer of instruments and from overseas-investment transaction reporting. An acknowledged transaction filing does not by itself complete the annual return.
Likewise, an FLA submission does not regularise a transaction that breached an investment condition or replace a missing transaction report. Maintain separate trackers and reconcile them to the same investment register.
Prepare the financial and ownership inputs
- Entity identification, reporting-year details and authorised contact.
- Foreign investor and overseas investment records, including country and ownership information.
- Share capital, reserves and other financial figures required by the current return.
- Opening and closing positions and changes supported by the books.
- Related liabilities and assets classified according to the reporting instructions.
- Prior return, audit adjustments and explanations for significant movements.
Use the prescribed valuation and units
Check the return’s instructions for valuation, currency conversion, units and reference dates. A share subscription price or accounting carrying value should not be substituted automatically for a required reporting measure. Keep the calculation and source rate with the working papers.
For example, a foreign investor’s ownership percentage changes during the year while the closing investment balance also changes. Reconcile the share register, transaction documents and financial figures rather than copying last year’s percentage alongside this year’s balance.
Plan for provisional and audited information
Usual timing and reporting route
The ordinary annual FLA deadline is 15 July. RBI’s general FAQ covers Indian-resident entities with reportable inward or outward direct investment outstanding at the relevant year-end, including cases with no fresh investment that year. Use FLAIR; do not substitute a mutual-fund survey’s separate procedure.
If audited figures are unavailable, file using provisional or unaudited information by the applicable deadline, then follow RBI’s permission process for the required revision. Check any reporting-year extension and the current revision instructions; a pending audit is not an automatic extension.

RBI’s FLA guidance provides an annual reporting process through FLAIR. Check the current reporting deadline and the procedure for using unaudited figures where the audit is incomplete; an unfinished audit should not be assumed to extend the filing obligation.
Label the financial basis clearly and compare the submitted figures with the final audited accounts. Where revision is needed, follow the current FLAIR permission and submission procedure. Preserve both versions and the explanation of changes rather than overwriting the original working file.
Verify submission and maintain access
Complete the return through the authorised FLAIR account, resolve validation messages and retain the acknowledgement and exact submitted data. A populated form or saved draft does not establish successful filing.
Keep account ownership and contact details under entity control. Record any helpdesk correspondence, approval for revision and outstanding issue. Do not share sensitive investor or financial information through unrestricted channels merely to resolve a portal problem.
Close the annual reporting file
Reconcile the final return to the approved working papers and investment register. Assign an owner to any unresolved reporting, valuation or historical-filing question and review it separately from the next annual cycle.
Bring financial statements, investment history, shareholding records, earlier FLA returns and RBI correspondence to Kosha.Services. We can organise the applicability review and reconciliation, with current RBI instructions checked for the entity and reporting year.
