A transaction needs a connected workplan
Start with the commercial objective, ownership structure and proposed deal perimeter. We organise the financial, tax, corporate and regulatory questions so they can be resolved in the right sequence.
Choose your stage
- Prepare for investment: investor readiness organises the evidence; fundraising compliance coordinates the funding steps. ESOP structuring addresses a separate employee-equity programme.
- Assess a purchase or sale: distinguish buyer diligence from seller preparation. M&A advisory connects the wider workstreams.
- Prepare the deal: valuation coordination organises inputs for the appointed valuer; purchase-agreement coordination connects the terms, schedules and closing evidence.
- Address structural or process questions: explore merger and demerger schemes, cross-border acquisitions, competition assessment or distressed transactions where the facts call for them.
- After closing: compliance integration assigns recurring obligations, record updates and outstanding transaction actions.
Clear roles and scope
The proposal identifies deliverables, entities, periods and adviser responsibilities. Lawyers, valuers and other regulated professionals are engaged for their respective roles. Fees depend on the transaction and evidence available; no funding, valuation or approval outcome is guaranteed.
Prepare a transaction brief
Identify the parties, assets or interests involved, current stage and commercial objective. Include the proposed timetable, terms already agreed and decisions still open. Distinguish a preferred closing date from conditions that must be resolved before completion.
For example, an acquisition may depend on a customer arrangement, financing and a separate regulatory assessment. Give each dependency an owner and evidence requirement. A signed agreement does not by itself show that every condition or operating handover is complete.
The investment journey and business purchase and sale journey connect these services into preparation sequences. The written scope selects the work required for the particular transaction.
