Post acquisition compliance integration

Carry the closing commitments into the combined business’s day-to-day compliance records.

Approach and deliverables

We convert diligence findings and transaction conditions into an integration register. Bank mandates, authorised signatories, tax records, licences and contractual notices are mapped to the entities that remain after closing.

The output can include a first-period action plan, recurring compliance ownership and evidence of completed changes. Historic target obligations are tracked separately from new integration tasks.

  1. Establish the actual closing position and entities continuing in the group.
  2. Map transaction commitments and diligence issues to action owners.
  3. Sequence immediate updates alongside recurring obligations.
  4. Retain completion evidence and hand over ongoing responsibilities.

Keep the integration register tied to the signed terms and actual closing record. Proposed changes that were not completed should not silently become the operating baseline.

Information to prepare

  • Signed transaction documents and closing checklist
  • Diligence issues and agreed remediation
  • Entity, registration and authority records
  • New governance and operating model

Include temporary support arrangements, system access dependencies and the people retaining historical knowledge. Identify the custodian of pre-acquisition records and who can answer later authority or counterparty questions. Separate acquired obligations from tasks introduced by the buyer’s operating model.

A practical example

Changing the board does not automatically update banking access or every authority portal. Assign each update and retain acknowledgement of the change.

For a banking-access update, identify who can initiate payments during the transition, the change requested and the bank’s actual confirmation. Track the handover without circulating credentials. The action is complete only when the relevant evidence supports the intended authority arrangement.

Scope and responsibilities

Integration does not erase acquired liabilities or replace statutory reporting. Systems migration, employment changes and technical licence transfers are separately scoped.

The engagement letter records the workstreams included, client decisions and external professional costs. New transaction steps or material changes are assessed before the scope is extended.

The completion pack can include the action register, updated responsibility matrix, evidence links and unresolved items. Assign maintenance of the recurring calendar before the integration team disbands. Historical remediation and further restructuring remain separate workstreams unless expressly included.
