Approach and deliverables
We collect the transaction structure, control rights and relevant business and financial information for assessment under the current competition framework. A minority percentage alone does not answer every control or filing question.
The output is an information-gap list and filing-assessment brief for competition counsel. Connected transaction steps and India-related business facts are considered rather than looking only at the first agreement.
- Map the proposed transaction and any connected steps.
- Collect group, rights and financial information with source records.
- Identify missing facts and inconsistencies for specialist assessment.
- Hand over the assessment brief and decisions requiring follow-up.
Keep the description aligned with the latest agreed terms. A change to governance rights or transaction sequence should be brought back into the information pack before relying on an earlier assessment.
Information to prepare
- Parties and group structure
- Transaction value and financial information
- Control, governance and veto rights
- India activities and overlapping products or services
Identify the entities and periods covered by financial figures, their currency and the source of any conversion or adjustment. Explain the actual products and services offered in India rather than supplying only broad industry labels. Keep assumptions about group boundaries and connected arrangements visible for counsel.
A practical example
A small equity investment accompanied by significant governance rights requires a review of those rights, not just the share percentage.
For the minority investment, provide the complete rights package, including board arrangements, reserved matters and relevant side agreements. A summary table of percentages may omit the very provisions the specialist needs to examine. Record terms still being negotiated separately from executed commitments.
Scope and responsibilities
Thresholds, exemptions and filing requirements must be checked against current law and the complete facts. This coordination service does not itself issue a definitive competition opinion or guarantee clearance.
The engagement letter records the workstreams included, client decisions and external professional costs. New transaction steps or material changes are assessed before the scope is extended.
The handover can include the transaction diagram, sourced financial schedules, rights summary and open-information list. Specialist advice, filing preparation, regulator engagement and later amendments are separately identified in the mandate. The coordination record should preserve the facts and document version on which any advice was based.
