Approach and deliverables
We establish whether the sale is contractual, enforcement-led or part of a formal insolvency process. The seller’s authority, asset title, liabilities and process rules shape what can be acquired and on what terms.
Support can include a document review register, bid-dependency checklist and briefing material for insolvency and legal specialists. Assumptions about liability treatment are checked against the actual sale documents and orders.
- Identify the process, seller authority and documents governing participation.
- Map the proposed acquisition perimeter against the evidence available.
- Record bid conditions, funding dependencies and unanswered questions.
- Prepare the decision pack and track any separately authorised next steps.
Keep representations in sale materials separate from independently supported facts. Where access is limited, the assessment should explain that limit rather than treating the absence of evidence as confirmation.
Information to prepare
- Sale process and authority documents
- Asset, title and security records
- Available financial and liability information
- Bid conditions and proposed funding
Collect amendments to process documents and relevant orders alongside the original notice. Identify inspection limits, deposits, completion conditions and who can answer questions. Record the version and date used for each decision so a later change in terms is visible.
A practical example
A distressed asset may be offered with limited warranties and incomplete records. Record those information gaps explicitly before pricing the risk.
For an asset with incomplete maintenance or title records, distinguish the documentary gap from the technical or legal investigation needed. A lower proposed price does not resolve either question. Identify which uncertainty the buyer is accepting and which requires further work before a decision.
Scope and responsibilities
We do not guarantee clean title, extinguishment of claims or bid success. Formal insolvency roles, court representation and specialist asset investigations require separate appointments.
The engagement letter records the workstreams included, client decisions and external professional costs. New transaction steps or material changes are assessed before the scope is extended.
The handover can include the evidence register, open questions, process-condition checklist and adviser referrals within scope. Submission of a bid, payment of a deposit and execution of sale documents are distinct actions under the agreed mandate. Post-acquisition permissions and operational readiness require their own plan.
