Business valuation coordination

Prepare reliable inputs and the right professional brief for a business or securities valuation.

Approach and deliverables

We identify why the valuation is needed, its date, subject and applicable framework. A commercial negotiation model and a valuation required for a statutory purpose may need different methods and professional eligibility.

Support includes a data pack, assumptions register and reconciliation of projections to historical results. The appointed valuer determines the approach and signs the report within their professional remit.

  1. Confirm the purpose, valuation date and interest or asset being valued.
  2. Organise the valuer’s requested information and reconcile source figures.
  3. Document management assumptions and changes to forecasts.
  4. Track questions and hand over the final input record.

Keep the business’s preferred commercial outcome separate from the evidence supplied. The coordination record should show the information considered without directing a professional conclusion to a target figure.

Information to prepare

  • Purpose and valuation date
  • Historical accounts and forecasts
  • Capital structure and instrument rights
  • Business assumptions and material contracts

Provide a bridge from historical accounts to forecast opening balances and identify non-recurring adjustments separately. Explain assumptions for revenue, margins, investment and funding, with their source and owner. Mark unconfirmed contracts or pipeline opportunities as assumptions rather than committed income.

A practical example

A preference instrument with special rights should not automatically be valued like ordinary equity. Explain its terms in the valuer’s brief.

For the preference instrument, supply the executed rights, conversion or redemption terms and relevant amendments. Identify other instruments that may affect the economic position. A capital table showing only quantities and percentages can leave material terms out of the brief.

Scope and responsibilities

Coordination does not constitute a signed valuation or fairness opinion. Valuer fees, technical assets and tax-specific reports are separately scoped; no target price is promised.

The engagement letter records the workstreams included, client decisions and external professional costs. New transaction steps or material changes are assessed before the scope is extended.

The handover can include the reconciled data pack, assumptions register, version history and outstanding information requests. The signed report and its permitted use remain governed by the valuer’s engagement. A later transaction date or changed business facts may require the responsible professional to reassess the earlier work.
