Foreign investor acquisition checklist

A foreign-investor acquisition needs a coordinated review of the target business, investor ownership, transaction structure and payment terms. Identify regulatory conditions before agreeing an unconditional closing.

Define the acquisition

Record whether the buyer acquires existing securities, subscribes for new securities, buys a business or combines these steps. Identify the buyer, sellers, target and their residence status. Keep the consideration for each component separate.

Review voting, board and other control rights alongside the ownership percentage. The commercial description minority investment does not settle every control or approval question.

Assess investment eligibility

Describe the target’s actual activities and assess the applicable sector route, caps and conditions under the current foreign-investment framework. Trace the investor’s ownership and beneficial ownership for any relevant origin or approval restrictions.

RBI’s framework links transfers to applicable entry routes, limits, pricing, documentation and reporting conditions. A bank’s ability to receive a payment should not be treated as confirmation that the transaction satisfies all of them.

Prepare the diligence record

  • Target constitutional documents and current ownership records.
  • Historical share issues, transfers and foreign-investment filings.
  • Material licences and sector permissions.
  • Financial statements, tax records and unresolved notices.
  • Key customer, supplier, financing and employment agreements.
  • Intellectual-property ownership and data-related obligations.
  • Existing investor rights and required third-party consents.

Check pricing and payment mechanics

Assess the valuation and pricing rules for the instrument and direction of transfer. Review deferred consideration, escrow, indemnity arrangements and other payment terms under the applicable rules rather than assuming that the negotiated price is the only relevant figure.

Prepare a payment schedule identifying payer, recipient, currency, amount and supporting evidence. Reconcile gross consideration, withholding and other adjustments with the transaction documents.

Build conditions into the closing plan

List required investment, competition, sector, lender and contractual approvals. Assign an owner and acceptable completion evidence to each condition. Consider whether a proposed pre-closing action would prematurely transfer control or implement the transaction.

For example, a target may hold a licence containing ownership-change conditions. Even where the investment route permits the acquisition, that licence condition can remain a separate closing dependency.

Coordinate signing and completion

Keep executed agreements, disclosure schedules, corporate approvals and final capitalisation records consistent. Confirm any dematerialisation or securities-transfer prerequisites before fixing the operational closing sequence.

Record actual payment and transfer dates. Where closing occurs in tranches, preserve the evidence for each step and assess its reporting consequences separately.

Complete reporting and handover

Determine the responsible filer and applicable event reporting, including the distinction between a new issue and a transfer. Coordinate bank documentation and retain submissions, queries and final outcomes. Assess annual and downstream obligations separately.

Update registers, beneficial-ownership records and board arrangements where required. Carry continuing investor information rights and post-closing remediation into the operating calendar.

Maintain one reconciled transaction file

Keep the route assessment, valuation, approvals, agreements, remittance evidence, ownership updates and filings together. List unresolved matters explicitly, with owners and deadlines.

Kosha.Services can help coordinate the acquisition checklist with legal, tax and banking advisers. Provide the complete investor chain and target activity profile early so the assessment reflects the actual transaction.
