Define the transaction before choosing a route

A merger combines businesses or entities under a scheme. A demerger separates an undertaking into another entity under the chosen structure. A share purchase or contractual business transfer is a different route and should be evaluated separately.

Start with the commercial objective: group simplification, business separation, investor entry or operational consolidation. Define which assets, liabilities, people, contracts and licences must move and what consideration the owners will receive.

Tribunal scheme or fast-track procedure

Sections 230–232 of the Companies Act provide the scheme framework involving the National Company Law Tribunal. Section 233 provides a fast-track route for eligible cases through Central Government approval delegated to Regional Directors. Eligibility must be checked against the actual entities and transaction.

The September 2025 amendments widened fast-track coverage. Do not rely on an older checklist limited to small companies and wholly owned subsidiaries. Review the amended classes, financial conditions and sector-regulator requirements before selecting the route.

Build the transaction perimeter

  • Identify each transferor and transferee, ownership chain and relevant jurisdiction.
  • Prepare schedules of land, equipment, inventory, intellectual property, receivables and liabilities.
  • Map employees, benefit obligations, shared services, contracts and required consents.
  • Separate excluded assets and liabilities and explain how shared balances will be allocated.
  • Identify litigation, security interests, guarantees and contingent exposures.

Prepare the evidence and scheme documents

  • Constitution documents, ownership records, financial statements and current management accounts.
  • Valuation and share-entitlement analysis appropriate to the transaction.
  • Draft scheme, explanatory material, accounting-treatment analysis and implementation conditions.
  • Creditor and member classifications, balances and contact records.
  • Approval matrix covering boards, members, creditors, lenders, regulators and competition review where applicable.

Coordinate the approval process

Agree the scheme and supporting documents, obtain the required corporate decisions and follow the applicable notice, meeting, consent and authority process. Track objections and responses in a single register. A fast-track label does not mean that statutory stakeholder protections disappear.

For listed or regulated businesses, coordinate the relevant securities or sector process. Cross-border structures require a separate exchange-control and jurisdictional assessment. Build these dependencies into the transaction timetable rather than treating them as post-closing administration.

Analyse tax, stamp duty and accounting separately

Scheme approval does not itself prove that a transaction is tax neutral. Assess the conditions for the actual structure and period, including the treatment of consideration, assets, losses and shareholder interests. Review state stamp-duty consequences and the required accounting treatment before finalising economics.

Record the appointed date, effective-date mechanism and conditions in the scheme. Ensure the accounting and operational teams understand which event authorises each implementation step.

Example: separating a product division

A company wants to separate a product division while retaining its consulting business. Its perimeter should address shared employees, customer contracts, software rights, receivables and central borrowings. Moving only the brand and selected assets may not deliver the intended undertaking or the assumed tax result. The structure and scheme need to resolve these points before approvals are sought.

Close the implementation register

After the required approval and filings, track the actual transfer actions: title and registry updates, securities issue, contract communications, bank arrangements, tax registrations and opening balances. Retain the final order, filings, transfer evidence and reconciliations.

Assign responsibility for residual queries and obligations. Announcing a merger is not evidence that every registration, contract or operational record has been updated.
