Entity conversion

Plan a change of legal structure without losing sight of contracts, licences, assets and tax consequences.

Before you begin

Compare the available statutory route with the business transfer actually required. A conversion decision can affect ownership, security interests, registrations, employees and counterparties.

Start with the reason for changing structure: ownership, funding, governance or another operational need. Compare the intended end state with the present record of owners, assets, contracts and obligations. Identify matters that require separate advice before fixing an effective date.

What the engagement covers

We prepare a conversion dependency map, coordinate corporate documentation and track the registrations and agreements that must change. A separate tax and stamp assessment is included when agreed.

The conversion tracker separates route assessment, owner decisions, application work and the operational changeover. For each contract or account, record the current holder, the intended holder, the action needed and the evidence of completion. Keep disputed or unresolved items visible through the handover.

Records to prepare

  • Existing constitutional and registration records
  • owner approvals
  • financial statements
  • asset and liability schedules
  • secured loans
  • key licences and contracts.

Reconcile the asset and liability schedules to the accounts used for the assignment. Include deposits, guarantees, pending litigation and employee arrangements as well as obvious fixed assets. Record missing evidence rather than silently treating the schedule as complete.

A decision worth resolving early

Changing a partnership into another form does not mean every lease or customer account updates automatically. Identify consents and continuity arrangements before the effective date.

For example, a business can obtain a formation or conversion document while customer invoicing still uses old account details. Prepare a dated transition checklist covering invoices, collections, bank mandates, supplier records and record custody so the operational position follows the agreed legal route.

Scope and fees

The scope defines the existing and proposed forms, the route being assessed, the filings included and the responsibilities for counterparties and registries. Tax treatment, valuations, lender negotiations and disputed matters need explicit coverage. The closure and restructuring journey helps organise the wider handover.

Company vs LLP

Choose the structure around how the founders will own, fund and operate the business. A private limited company and an LLP both offer a separate legal entity, but their ownership and governance arrangements work differently.
