Assessment and deliverables
We map investor residency, ownership, sector, instrument and transaction type before preparing the filing. Sectoral conditions and the permitted route need to be settled before reporting is treated as a routine form exercise.
Support includes a document index, consistency review of remittance and allotment or transfer records, FIRMS preparation and bank-query tracking. Valuation evidence is obtained from the appropriately qualified provider where required.
Prepare a transaction map showing who invests, who receives the funds and which securities or interests change hands. Identify separate receipts and corporate actions within a funding round rather than treating the round as one undifferentiated event. Record outstanding eligibility or instrument questions before finalising the reporting inputs.
Prepare the evidence
- Investor and beneficial-ownership details
- Subscription or transfer agreement and corporate approvals
- Remittance evidence and bank KYC records
- Capitalisation table, valuation and prior reporting
Compare names, amounts, currency and dates across the agreement, bank evidence and corporate records. Reconcile the opening capitalisation table to the proposed closing position, retaining the calculation behind each change. Where documents differ, obtain clarification from the responsible party and preserve the resolution instead of correcting one file without checking its supporting records.
A practical example
A secondary share transfer and a fresh allotment have different facts and reporting paths. Reconcile the cap table to the actual transaction before entering the portal.
For a round combining a fresh issue with a shareholder sale, show the money received by the company separately from the consideration paid to the selling shareholder. Map the corresponding changes in ownership and identify the documents supporting each leg. A single headline investment amount may not describe the separate transactions that need review.
Scope and fees
Portal acceptance does not replace sectoral eligibility or company-law compliance. Bank and authority processing times are outside the engagement’s control.
The proposal identifies the transactions and periods covered, client approvals, query support and professional fees. Government charges and external certifications are separate unless expressly included.
The handover records the approved factual inputs, submitted document version, filing references and unresolved bank queries. Identify who will answer each query and retain evidence of the eventual outcome. Changes to the transaction after preparation should be checked against the filing pack before submission; a completed internal checklist is not proof of acceptance by the reporting system or bank.
