Assessment and deliverables
We distinguish equity, debt, guarantees and other commitments and map the investor and foreign entity under the applicable overseas-investment framework. The transaction history matters, including earlier investments and subsequent restructuring.
Deliverables can include a commitment register, designated-bank document pack and reporting calendar. Annual and event-based records are reconciled with financial statements, ownership evidence and bank correspondence.
Establish the opening investment position before adding the current period’s events. Link each commitment to its agreement, counterparty and supporting bank or corporate record. Record changes, repayments and releases separately so the working register explains movement over time rather than presenting only a closing balance.
Prepare the evidence
- Indian investor and overseas entity structure
- Investment, loan and guarantee agreements
- Remittance history and existing identification records
- Foreign financial statements and ownership changes
Compare the foreign entity’s ownership records and financial statements with the Indian investor’s books. Identify differences in reporting periods, currency and document dates before reconciling the figures. Keep requests for missing foreign records with an owner and expected response, particularly where another adviser or overseas finance team must supply the evidence.
A practical example
An Indian parent providing a guarantee after its initial equity investment should assess the additional commitment rather than assuming the original investment report covers it.
For the guarantee example, retain the executed terms and distinguish the stated commitment from any later amendment, invocation or release. A verbal statement that a guarantee has ended should remain an evidence request until the relevant documents are available. The reporting question should follow that documented chronology rather than the accounting balance alone.
Scope and fees
Eligibility, limits and pricing requirements must be checked for the actual facts. Foreign incorporation services and host-country filings are outside this India-focused scope.
The proposal identifies the transactions and periods covered, client approvals, query support and professional fees. Government charges and external certifications are separate unless expressly included.
The handover identifies the reconciled position, events requiring further assessment and the documents prepared for the designated bank. Track submitted reports, bank queries and recorded outcomes separately. Agree who will obtain future overseas financial information and maintain the event register, so recurring reporting does not depend on reconstructing the entire history each year.
