Stamp duty and registration advisory

Identify the instrument, jurisdiction and execution facts before estimating duty or planning registration.

Work and handover

We review the proposed document and transaction, identify the relevant state treatment and coordinate the agreed valuation, execution and registration questions. The advice distinguishes the legal instrument from its informal commercial name.

Prepare an instrument brief showing the rights created, parties, subject matter and proposed execution sequence. Identify related agreements and whether the document is still being negotiated or has already been signed. The review can then distinguish an estimate for a proposed instrument from questions about an executed document requiring a different response.

Location-specific evidence

  • Draft instrument
  • property or transaction details
  • consideration
  • parties
  • execution locations
  • related documents
  • timing.

Retain the version of the draft used for the assessment and the evidence behind consideration or valuation inputs. Explain linked payments, deposits and other commercial terms instead of supplying only a headline amount. Identify uncertainty about execution locations or the property description before treating the calculation assumptions as settled.

A point to resolve early

A document called a memorandum may still create substantive rights. Analyse what it does before deciding how it should be stamped or registered.

For the memorandum example, compare the document’s operative provisions with the parties’ stated intention. If negotiations add an immediate right, payment obligation or property arrangement, flag the revised text for reassessment. Renaming the file does not explain the legal effect of the final instrument, and advice on an earlier draft may no longer address it.

Scope and authority process

Final duty depends on the applicable law and facts. Valuation, adjudication, registration attendance and disputes are separately scoped.

The written engagement identifies the location, authority, application stage and fees. Government charges and third-party costs are addressed separately; authority approval is not guaranteed.

The handover records the instrument version, jurisdiction and factual assumptions reviewed, together with actions needed for the agreed execution process. Keep payment evidence, signed copies and registration records distinct and identify who retains each. Where an authority determination is required, track the actual decision rather than presenting a preliminary estimate as a final assessment.
