Foreign owned businesses

Keep India operations, overseas ownership and cross-border transactions connected through reliable records.

Identify the India presence

An Indian subsidiary, branch or other permitted presence needs a review based on its actual legal form and activities. Foreign ownership does not identify the full regulatory route: sector, investor residency, instruments and transaction dates matter.

Maintain two connected worklists

Local books, payroll, corporate records and operating permissions need an India owner. Investment reporting, intercompany payments and group reporting need coordination with the overseas team and authorised dealer bank. Neither worklist replaces the other.

Prepare a clear group evidence file

  • Ownership chart with investor and beneficial-owner information.
  • Investment agreements, remittance evidence and reporting acknowledgements.
  • Intercompany contracts and the basis for charges.
  • Local signatory authorities and approvals for operational decisions.

Changes that need attention

New funding, a share transfer, an overseas guarantee or a change in the India activity should trigger a fresh assessment. For example, describing a receipt as group support does not determine whether it is equity, debt or payment for services.

How support is organised

Kosha can coordinate the India compliance register and bank documentation. Foreign-country advice, valuation and specialist tax or legal opinions are separately scoped. Share the structure and transaction history before selecting filings.

Choose support for the transaction

For a proposed Indian company, foreign subsidiary setup starts with the group structure, proposed activity and ownership instructions. Identify who will provide overseas documents and who can approve the India operating facts.

For an investment event, foreign investment and FDI reporting connects the transaction terms, remittance evidence and reporting work. Keep a list of amounts received and documents issued, with dates and counterparties, before selecting the filing scope.

For intercompany charges, transfer pricing support examines the relevant transaction records and analysis. Supply the agreement, actual delivery evidence and financial workings, rather than relying only on the group’s standard policy description.

Make the overseas handover specific

For example, a head-office service charge may arrive as one annual invoice while the Indian team needs to understand the services, allocation basis and period covered. Request a supporting schedule and the contact who can explain it; keep unresolved items separate from the amounts already reconciled.

Use a shared request list showing the Indian entity, transaction, source document, responsible group contact and target date. Retain the final version supplied for each assignment so local accounting, bank correspondence and group reporting can trace their figures to the same evidence.
