LLPs

Keep the LLP agreement, partner records and recurring filings aligned with how the business operates.

Start with the LLP agreement

An LLP has its own statutory framework. Review partner contributions, profit sharing, management rights and designated-partner responsibilities against the agreement and actual records. Do not simply reuse a company’s shareholder checklist.

Maintain a connected annual file

  • Reconcile accounts and partner contribution records.
  • Track annual return and accounts-and-solvency work for the applicable period.
  • Assess audit and tax requirements using the current facts and rules.
  • Retain filing acknowledgements and approvals by the responsible partners.

Record partner and agreement changes

Admission, retirement, contribution changes and amendments to the agreement need an event-based review. The signed document, accounting entries and authority records should describe the same arrangement.

An example

If a new partner contributes equipment instead of cash, establish the agreed contribution and supporting evidence before updating the books and agreement records. Do not infer its value from an informal message.

Prepare for an engagement

Bring the LLP agreement and amendments, partner list, recent accounts and filing history. Kosha can organise the annual worklist and change records; certifications, valuation and legal opinions are undertaken by appropriately engaged professionals.

Choose support for the current task

For a proposed LLP, LLP incorporation support starts with the partners, proposed activity and intended contribution arrangements. Keep decisions still under discussion separate from the instructions approved for the formation documents.

For an operating LLP, connect bookkeeping and monthly close with LLP annual compliance. The accounting file explains the transactions; the annual-compliance assignment identifies the filing work and records needed for the relevant period. Agree who supplies the final accounts and who confirms the partner information.

Carry agreement changes into the working records

Maintain a dated list of agreement amendments alongside the partner register and contribution schedules. For each change, identify the signed document, the accounting treatment to review and any filing or authority record requiring follow-up. Keep evidence of completed actions with the change file.

For the equipment contribution described above, the handover should identify the asset, supporting ownership records, agreed contribution and any valuation advice obtained. A document signed by the partners and an accounting entry are different parts of the record; reconcile them before closing the task.
