LLP annual compliance

Bring the LLP’s annual reporting together with its books and current partner information.

Work covered by the assignment

The engagement reconciles the partner and contribution record, coordinates annual statement information and organises the forms and supporting documents relevant to the period. Outstanding agreement changes are tracked separately.

  1. Confirm the reporting period and obtain the latest executed agreement and amendments.
  2. Reconcile partner movements and contribution information to supporting records.
  3. Coordinate the financial information and professional involvement needed for the agreed annual work.
  4. Prepare the filing pack and retain outcomes, queries and carry-forward actions.

Keep agreement-change work distinct from annual reporting so an annual filing is not treated as a substitute for missing event records.

Records that establish the starting position

  • LLP agreement and amendments
  • partner list and contributions
  • books and financial statements
  • previous annual filings
  • outstanding notices.

Index changes by date, the people involved and the document supporting them. Identify contributions promised separately from amounts actually recorded as received, and reconcile any difference with the accounts and agreement terms before finalising the relevant information.

A practical point to resolve

A contribution increase recorded in the books but absent from the agreement trail needs investigation before annual information is repeated. The task is reconciliation, not simply copying last year’s form.

For example, a retiring partner may still appear in one internal schedule while another uses the proposed replacement. Establish the actual change and its evidence, then update the reporting inputs consistently. Do not use a draft agreement as evidence of an executed change.

Boundaries and engagement terms

Audit applicability, overdue filings and agreement amendments are assessed in the written scope.

We confirm the covered event or financial period, deliverables, professional involvement and fees in writing. The enquiry should identify any approaching date and outstanding prior work.

Handover includes the final annual information, supporting reconciliations, filing references and a separate list of agreement or partner-change matters still outstanding. Use the LLP annual checklist and Forms 8 and 11 guide for the associated reporting context.
