Confirm the year and filing history
Start with the incorporation date, applicable financial year and last completed filings. A newly incorporated LLP needs a first-year assessment; an established LLP needs continuity with its previous closing balances.
Download the current filing status and compare it with the LLP’s own acknowledgements. Make a separate list of missing years, pending resubmissions and discrepancies instead of treating the latest annual return as the whole compliance history.
Close and reconcile the accounts
- Reconcile each bank account and explain uncleared items.
- Match invoices, receipts and outstanding customer balances.
- Confirm supplier balances, expenses accrued and unpaid statutory amounts.
- Reconcile partner capital, current accounts, drawings and contribution receipts.
- Review loans, interest, fixed assets and depreciation workings.
- Prepare financial statements and document audit applicability.
- Resolve opening-balance differences before carrying them forward.
Prepare the annual MCA filings
Form 11 is the LLP annual return. MCA’s instruction kit states that it must be filed within sixty days of the financial-year close. For a 31 March year end, the ordinary date is 30 May; check whether a specific applicable relaxation changes the position.
Prepare Form 8, the statement of account and solvency, as a separate workstream using the completed accounts and current form requirements. Maintain a deadline record for it and verify the applicable filing period rather than assuming the Form 11 date applies.
Review the required signatories and certification, ensure digital signatures work, and assemble attachments before starting the final submission. Preserve the approved figures and signed form used for filing.
Review changes during the year
Annual filing does not replace filings triggered by partner changes, agreement amendments or changes to registered particulars. Compare the agreement and partner register with the MCA record and identify any event that has not been dealt with.
For example, a new partner may have joined midway through the year while an older agreement remains in the working folder. Obtain the effective agreement and event-filing evidence before preparing year-end partner and contribution information.
Coordinate the tax and operating records
- Reconcile the income-tax computation with the final books.
- Assess tax-audit requirements separately from LLP-law audit requirements.
- Match withholding records, payments and statements to the expense ledgers.
- Reconcile GST information where the LLP is registered.
- Review payroll and employment obligations where people are engaged.
- Assess foreign investment or overseas investment reporting where relevant.
- Maintain separate due dates and acknowledgements for each system.
Handle a year with no business
Do not infer that annual compliance disappears because the LLP issued no invoices. Confirm the obligations for its actual status and prepare records for bank charges, setup costs, partner contributions and any outstanding liabilities.
If the partners intend to close the LLP, assess the closure procedure and pending liabilities separately. Merely ceasing operations or leaving a bank account unused does not establish that the entity has been legally closed.
Complete the evidence file
Keep final accounts, audit or applicability workings, partner confirmations, signed forms, attachments, fee receipts and filing acknowledgements in a year-specific folder. Record the final portal status and any unresolved query with an owner and next action.
The practical completion test is whether another authorised person can reconstruct what was filed, for which year, on what basis and with what outcome. Kosha.Services can help reconcile the documents and coordinate the annual filing schedule without merging distinct obligations into one generic return.
