What each form is for
Form 11 presents the LLP’s annual return information, including its partners and contribution details. Form 8 addresses its accounts and solvency. Filing one does not replace the other, and neither is the LLP’s income-tax return.
Use the current MCA instruction kits for the fields, attachments and certification requirements. Select the correct financial year and confirm the LLP identification number before preparing the return.
Start with a reconciled record
Create a dated list of partners and designated partners, agreed and received contributions, changes to the LLP agreement and relevant event filings. Resolve discrepancies between the agreement, books and MCA records before carrying them into an annual form.
For example, a partner may agree to contribute an amount that has only partly been received by year end. Preserve the agreement and receipt evidence, and distinguish the two amounts wherever the form requests them. Do not substitute one for the other to make totals appear consistent.
Prepare the Form 11 working file
- LLPIN, registered office and financial-year details.
- Partner and designated-partner particulars, with changes during the period.
- Contribution obligations and actual contribution received.
- Supporting agreement amendments and related filing references.
- Information needed for applicable disclosures and certification.
- Authorised signatory details and a working digital signature.
Prepare the Form 8 working file
- Finalised books, trial balance and financial statements for the selected period.
- Bank reconciliations and supporting balance schedules.
- Receivable, payable, borrowing and contribution reconciliations.
- Audit report or documented audit-applicability assessment.
- Evidence supporting the solvency declaration and other disclosures.
- Required attachments and signatory or professional certification arrangements.
Keep the filing calendar distinct
Usual timing
- Form 11: within 60 days after the financial year closes — ordinarily 30 May for a 31 March year-end.
- Form 8: within 30 days after the six-month period following financial-year close — ordinarily 30 October for a 31 March year-end.
These are ordinary deadlines, not a statement that no extension applies to a particular year. Confirm the LLP’s first financial year and any relevant relief before filing. Read the MCA instruction kits and compare the LLP calendar records.
Build a calendar for both annual forms using the financial year applicable to the LLP and the current statutory rules. For a newly incorporated LLP, check the first financial year before copying the dates used by an established LLP.
Record any applicable MCA extension with its circular, covered period and conditions. A previous year’s relaxation or an extension for one form should not be applied automatically to the other. Start preparation early enough to resolve data and signature issues.
Check before signing
Compare names, contribution amounts, period and partner details across the forms and source records. Review the solvency declaration against the financial position rather than treating it as an administrative checkbox. Confirm the current certification requirements for the LLP’s circumstances.
Inspect generated documents and attachments before digital signing. Keep the signed version, payment evidence, service request number and final filing status together. If a resubmission is requested, preserve the original and revised versions with the reason for the change.
Deal with inactive years and missing filings
An LLP with little or no trading activity should still assess its annual filing obligations and prepare accurate records. Zero revenue does not mean every balance is zero: incorporation expenses, partner contributions and bank balances may remain.
For earlier missing filings, prepare a year-by-year status table and reconcile opening balances before submitting later periods. Kosha.Services can help organise the records and annual filing workflow; bring the agreement, books, previous acknowledgements and current MCA status to the review.
