Partnership firms

Keep the partnership agreement, partner accounts and authority to act consistent with the business’s operations.

Start with the agreement

The partnership deed should be reviewed alongside how the firm actually operates: who contributes capital, shares profits, manages work and signs commitments. A later change in partners or commercial terms needs a corresponding documentation review.

Track firm and partner records separately

  • Maintain capital, current-account and drawings reconciliations for each partner.
  • Retain the deed, amendments and registration evidence.
  • Record banking mandates and signing authority.
  • Keep business contracts and tax records aligned with the firm’s identity.

Check registration and change procedures

The Indian Partnership Act provides the framework for firms and their registration. State procedures and the consequences of non-registration need specific review. Do not assume that executing a deed completes every registration or notification step.

An event to plan for

When a partner retires, assess the deed, settlement, authority records and third-party communications together. Removing a name from an internal spreadsheet does not establish that every legal and operational consequence has been handled.

Scope the recurring work

Bookkeeping and tax work should reflect the agreed partner arrangements and the applicable period. Admission, retirement, dissolution and conversion require separate event-based work. We coordinate records and filings with legal or tax specialists where the facts require their advice.

Match the assignment to the firm’s situation

For a new firm, partnership formation support starts with the partners’ instructions and proposed business arrangements. Bring the intended contributions, management responsibilities and authority to commit the firm so the document work reflects the agreement being made.

For an operating firm, bookkeeping and monthly close keeps business transactions and partner accounts traceable. Business income-tax return support uses the relevant financial records and agreed scope for the filing period. Keep signed deed amendments with the accounts rather than relying on an informal description of changed terms.

Where a change affects customer or supplier commitments, commercial contract review can examine the relevant agreement and proposed communication. Identify the contracts concerned instead of assuming every counterparty needs the same action.

Prepare a partner-change file

For a proposed retirement, assemble the current deed, amendments, partner-account reconciliation and draft settlement instructions. List bank mandates, guarantees and contracts involving the retiring partner, distinguishing confirmed records from matters still being checked.

For example, agreement on a settlement amount may leave its payment schedule and supporting balance calculation unresolved. Keep those items visible in the worklist, with the person responsible for confirming each fact. The handover should show which documents are signed, which communications have been sent and which actions remain outstanding.
