A business example
Suppose Asha owns 80% of River Holdings, which owns 60% of Lotus Trading. Lotus's register names River Holdings as the immediate shareholder, so the review must look beyond that first entry.
Asha
An individual holding 80% of River Holdings in this simplified example.
River Holdings
The intermediate company holds 60% of Lotus Trading.
Lotus Trading
The operating company's register shows River Holdings as the immediate holder.
What this shows
80% × 60% = 48% is Asha's simplified indirect economic interest, assuming proportionate rights and no other arrangements. This arithmetic does not, by itself, decide significant beneficial ownership or a filing duty: voting, control, the ownership structure and the specific statutory test must also be assessed.
What it is often confused with
The registered holder is the name appearing in the company’s ownership records. In this example, that is River Holdings. Looking through the chain identifies Asha’s indirect economic interest, but economic interest, voting power and control are not necessarily identical.
For example, different share rights or contractual arrangements could affect who receives distributions or makes decisions. A company-law significant-beneficial-ownership assessment must use its own legal test rather than treating the 48% calculation as the whole answer.
What to look at in your business
- Start with the operating company’s register and identify every intermediate holder in the chain.
- Obtain the ownership records for those holders and trace the relevant interests to individuals.
- Record share classes, voting rights and any agreements affecting economic benefits or control.
- Keep the ownership diagram and supporting records with the assessment of the specific legal requirement.
