Corporate compliance

Beneficial ownership compliance

Trace ownership and control information beyond the names appearing in the immediate shareholder register.

Work covered by the assignment

We prepare an ownership information request, map intermediate entities and document unresolved control questions. Declarations, company records and reporting are coordinated for the applicable legal tests.

  1. Agree the entity and reporting question under assessment.
  2. Collect the ownership-chain and control information with supporting documents.
  3. Record evidence gaps and follow up factual inconsistencies.
  4. Coordinate the assessed declarations, records and reporting within scope.

The work file should distinguish facts supplied by a participant from conclusions reached under the applicable test. An unanswered information request remains unresolved.

Records that establish the starting position

  • Shareholding chain
  • beneficial interest declarations
  • trust or nominee arrangements
  • voting and control agreements
  • foreign ownership records
  • previous disclosures.

For each link in the chain, retain the source, date and party providing the information. Explain what percentage or right a diagram represents, and identify agreements that may affect voting or control. Keep identity records in restricted storage rather than embedding unnecessary personal details in broadly circulated charts.

A practical point to resolve

An individual’s influence may arise through agreements or a chain of entities rather than direct shares. A diagram is useful only if the underlying documents support it.

For example, a company may receive an ownership chart that omits a trust or an intermediate entity shown in another document. Record the discrepancy, request the missing evidence and preserve both versions. Do not remove a layer merely to make the diagram easier to read.

Boundaries and engagement terms

We do not infer ultimate ownership from a name match. Investigation of opaque structures, overseas advice and contentious disclosure questions need a defined scope.

We confirm the covered event or financial period, deliverables, professional involvement and fees in writing. The enquiry should identify any approaching date and outstanding prior work.

The handover identifies the evidence reviewed, information received, declarations and reporting prepared, and questions still open. It also records facts that would prompt reassessment, such as a changed ownership chain or control agreement. Later changes are not covered by a one-time mapping unless the ongoing scope includes them.
