Collect the incorporation handover
Keep the incorporation certificate, memorandum, articles, subscriber information, registered-office evidence and filing acknowledgements together. Confirm the identifiers and contact details used on government portals. Arrange company-controlled access without sharing personal digital-signature credentials.
Record the incorporation date and determine the first financial year. Start a calendar that distinguishes deadlines measured from incorporation, recurring obligations and events such as a change of director or share issue.
Set up banking and subscription evidence
Complete the bank’s onboarding and approval requirements. Match each subscriber’s payment to the shares agreed to be taken, retaining the bank evidence and accounting entry. Keep subscription capital distinct from a founder loan, reimbursement or customer receipt.
For companies to which the commencement declaration applies, MCA’s INC-20A instructions prescribe filing within 180 days of incorporation. Review the conditions for commencing business and exercising borrowing powers before starting those activities; the filing deadline should not be treated as permission to operate before the conditions are met.
Organise initial governance
- Assess the first board meeting and auditor-appointment requirements for the company’s class.
- Record banking authority, signing limits and initial operating approvals.
- Collect director disclosures and maintain the relevant statutory records.
- Complete ownership records and applicable share-certificate or dematerialisation steps.
- Verify registered-office filings, display and communication requirements.
- Assign a named owner for meeting records, registers and event filings.
Check permissions before operations
Make a register of actual activities and locations. Assess GST, employment, local establishment and sector-specific requirements from those facts. Incorporation does not by itself authorise every regulated activity.
For example, a company incorporated to sell food products still needs to assess food-business requirements and the activities at each relevant location. A software company hiring employees needs an employment and payroll assessment even if its customer contracts are all online.
Build the monthly records
Use the company’s name and correct details on contracts and invoices. Maintain books from the first transaction, including incorporation expenses and amounts paid personally by founders. Reconcile bank accounts and document the basis for reimbursements.
Keep customer, supplier, payroll and tax records linked to the ledger. Separate business and personal spending, and resolve unexplained balances monthly rather than waiting for the first audit.
Track changes when they happen
Maintain an event log for directors, ownership, registered office, borrowing, charges and material agreements. Check the approvals and filings for each event before relying on annual filings to capture it.
Where funds come from overseas or the company invests abroad, coordinate the company-law records with the applicable investment, bank and reporting requirements. The dates and amounts should reconcile across those records.
Prepare the first annual close
- Confirm the period covered by the first financial statements.
- Reconcile assets, liabilities, capital, income and expenses.
- Arrange audit work and obtain required confirmations early.
- Prepare the applicable board, member and annual filing records.
- Coordinate the income-tax return and other applicable returns separately.
- Retain final signed documents, submission receipts and portal status.
Resolve gaps without inventing records
If an initial step was missed, record the actual chronology and identify the corrective process. Do not backdate a meeting or manufacture evidence of a capital receipt. Keep unresolved matters visible in the handover to the professional preparing the filings.
