Work covered by the assignment
We review the decision against the constitutional documents, identify the relevant board or member process and coordinate notices, agenda materials, resolutions and minutes. The scope can include an annual meeting planner and action tracker.
- Define the decision and collect the documents that explain it.
- Map the corporate process and any separate consent requirements for assessment.
- Coordinate the agenda and supporting papers, retaining a clear final version.
- Record the actual proceedings and track the resulting actions, signatures and filings.
The decision-maker should receive the material needed to understand the proposal. A resolution template without its supporting facts is not a complete decision record.
Records that establish the starting position
- Articles and existing agreements
- current board and ownership details
- proposed transaction papers
- previous resolutions
- meeting arrangements.
Provide the proposed decision date, participants, relevant interests or conflicts for assessment and any conditions in financing or shareholder documents. Keep draft commercial terms identifiable so a later version is not mistakenly attached to an earlier decision.
A practical point to resolve
An investor consent right can sit alongside corporate approval requirements. A financing decision should be checked against both before documents are signed.
For example, an investment proposal may change between circulation of papers and the meeting. Record which terms were considered, any conditions imposed and who must complete each follow-up. The action tracker should point to the actual decision instead of relying on an informal summary.
Boundaries and engagement terms
Commercial decision-making remains with the board and members. Legal opinions on contested authority and representation are separately agreed.
We confirm the covered event or financial period, deliverables, professional involvement and fees in writing. The enquiry should identify any approaching date and outstanding prior work.
The handover can include the agreed notice and agenda pack, final resolutions, minutes prepared from actual proceedings and an action register. Meeting attendance, commercial judgment and factual confirmation remain with the responsible participants. See the registers and minutes service for organising the continuing record.
