Board meeting and AGM records

A meeting file should explain what was proposed, who could participate, what was decided and what happened next. Keep board and member decisions distinct, with evidence supporting the procedure used.

Choose the correct approval route

Identify the decision and the authority required under the Act, articles and applicable arrangements. A board approval, member resolution and a filing are different steps. Decide which are needed before preparing a standard resolution.

Check the company’s class and any applicable exemptions. ICSI publishes SS-1 for board meetings and SS-2 for general meetings, with revised versions effective from 1 April 2024. Use the version applicable to the meeting date alongside the governing law.

Prepare the board meeting file

  • Notice and evidence of delivery to the relevant directors.
  • Agenda, explanatory papers and the version of documents proposed for approval.
  • Disclosure of interests and the basis for participation or exclusion.
  • Attendance, leave requests and quorum assessment.
  • Record of discussion, decisions and any dissent.
  • Draft circulation, comments, final minutes and signing record.
  • Action owners and linked filings or contract execution.

Prepare the AGM file

  • Board approval for convening the meeting and the final notice.
  • Financial statements and other documents circulated with the notice.
  • Member list and evidence of dispatch or delivery.
  • Applicable consent, proxy and representative documentation.
  • Attendance, quorum and voting records appropriate to the meeting.
  • Results, minutes and evidence of subsequent filings.
  • A list of unresolved actions with responsible people.

Keep the record aligned with the meeting

Use the actual date, time, mode, attendees and decisions. Distinguish a proposal that was discussed from one that was approved. Retain the final version of an agreement or financial statement identified in the approval so it can be found later.

For example, if the board approves a borrowing subject to a revised interest clause, keep the condition and the approved revision together. A generic resolution saying the facility was approved can conceal a material limitation on the signing authority.

Handle remote or shorter-notice meetings carefully

Before using a remote meeting format or shorter notice, confirm the applicable permissions and conditions for that meeting type and date. Do not assume that a historical temporary circular remains available indefinitely.

Keep the consent, participation and procedural evidence required for the route actually used. Technical attendance records can support the file but should not be treated as a replacement for the complete meeting record.

Control minutes and extracts

Assign responsibility for preparing, circulating, entering and signing minutes within the applicable time limits. Maintain a version trail while the draft is being finalised and protect the completed record from informal editing.

When an extract is issued to a bank or counterparty, check that it accurately reflects the decision and the authority to certify it. Keep a copy of the extract and the document to which it relates.

Connect decisions to implementation

Maintain an action register showing the approval, responsible person, due date and completion evidence. Link a share issue, director change or other event to its supporting resolution and any required filing.

An approved action may still be unfinished: the agreement may not be signed, funds may not be received or the filing may remain pending. Report those stages separately rather than treating the meeting date as completion of every downstream step.

Reconstruct gaps honestly

If records are missing, identify what evidence exists and obtain advice on the appropriate corrective process. Do not create a fictional meeting or backdate a signed record. Separate a present-day acknowledgement of historical facts from an original contemporaneous record.

Kosha.Services can help organise the meeting calendar, document packs and follow-up register. Provide the articles, current director and member details, prior minutes and the proposed transaction so the process matches the decision being taken.
