The question and deliverable

We map the transaction alternatives, asset and ownership changes, timing and relevant conditions. The written analysis identifies implementation dependencies and issues needing valuation or specialist input.

Begin with the business objective and compare the proposed routes against a common set of facts. For each alternative, identify what moves, which parties give or receive consideration and the sequence of legal steps. Keep tax estimates, commercial constraints and matters requiring further advice visible in the comparison so a preferred option is not selected on one headline number.

Evidence to prepare

  • Current and proposed structures
  • asset and liability schedules
  • tax attributes
  • agreements
  • valuations
  • ownership history
  • commercial objectives.

Use a dated baseline for ownership, asset values, liabilities and the tax records relied on. Distinguish book values from valuations and amounts supported by tax computations. Identify restrictions, contingent liabilities and missing historic documents that could affect the proposed sequence. Record the assumptions behind each alternative and who will confirm them before execution.

A fact that can change the analysis

A structure described as a merger in business discussions may be implemented through a different legal transaction. Tax analysis should follow the actual documents and steps.

For example, an early proposal may contemplate shares as consideration, while later negotiations introduce cash or the transfer of additional assets. Those changes should be reflected in the transaction map and referred back for analysis before the earlier conclusions are reused. A familiar commercial label does not establish that the final documents describe the same arrangement originally reviewed.

Engagement boundaries

No tax-neutral result is assumed. Corporate execution, stamp duty, foreign law and filings are separately scoped.

The written proposal confirms the taxpayer, period, deliverables and fees. Identify any payment, response or appeal date at the start.

The handover separates advice from execution: agreed assumptions, outstanding specialist inputs, document dependencies and actions before and after completion. Assign responsibility for each action and retain the final documents used to confirm what was implemented. Any continuing conditions identified in the advice need an owner beyond the closing date; completing the transaction does not itself confirm every tax assumption.
