Approach and deliverables
We map the transferred assets, contracts, employees, licences and liabilities. A commercial agreement does not establish that every permit or third-party contract moves automatically to the buyer.
The engagement produces a transfer-dependency register, responsibility matrix and completion evidence checklist. Tax, employee and licence changes are sequenced against the agreed effective date and actual handover.
- Confirm what is included and excluded from the transfer.
- Identify the owner, counterparty and evidence for each affected item.
- Track conditions and actions needed before the agreed handover.
- Reconcile completion evidence and assign remaining post-transfer work.
The register should distinguish an agreed commercial term, a consent requested and a completed action. This prevents a closing checklist from treating an intention as evidence that a dependency has been satisfied.
Records to prepare
- Transfer agreement and transaction perimeter
- Asset and liability schedules
- Contracts, permissions and employee records
- Closing conditions and proposed effective date
Include shared systems, customer deposits, supplier advances, warranties and records needed to service existing customers. Identify items used by more than one business unit. Record how each shared dependency will be separated or supported during the transition rather than assuming it belongs wholly to the transferred business.
A practical example
A buyer taking over a leased factory should check landlord consent and operating permissions alongside the asset handover, rather than treating possession as full operational readiness.
For the factory example, the operating checklist can connect premises access, equipment records, stock quantities and the permissions assessed for the new operator. Any temporary support arrangement should identify its scope and owner. The agreement’s effective date and the practical date of operational readiness may need separate tracking.
Scope and responsibilities
Legal drafting, tax opinions, valuation and authority approvals are separate workstreams. We do not assume that a going-concern description resolves every tax or permission question.
The proposal specifies the entities, periods, filings and coordination included. Client approval of factual statements and continuing operational responsibilities is recorded before implementation.
The handover can include the final perimeter schedules, evidence against closing conditions, opening operational responsibilities and unresolved exceptions. Keep custody of historical records and access for later enquiries explicit. The business purchase and sale journey connects the transfer work with diligence and deal preparation.
