Restructuring and closure

Family business reorganisation

Connect family ownership intentions with the business’s governance, contracts and compliance records.

Illustration of business growth connecting offices and international trade.

Approach and deliverables

We distinguish personal succession wishes from company ownership, management authority and asset title. The proposed arrangement should identify which rights change and which business obligations continue.

The engagement can produce an ownership map, governance issue list and implementation sequence for review with legal and tax advisers. Share transfers, director changes and delegated authority are recorded as separate actions.

  1. Record the agreed business objectives and distinguish unresolved family preferences.
  2. Map legal ownership, management roles and personal assets separately.
  3. Identify the documents and specialist questions needed for the intended changes.
  4. Coordinate agreed implementation steps and retain their completion evidence.

Do not treat silence or an informal discussion as a settled commercial instruction. The decision record should identify the matters actually agreed and those still requiring resolution.

Records to prepare

  • Family and entity ownership chart
  • Constitutional documents and shareholder arrangements
  • Asset title and business funding records
  • Proposed governance and succession objectives

Include guarantees, loans between family members and entities, and arrangements for use of personally owned property. Identify who holds original documents and who can confirm the facts. Keep sensitive personal estate records in a controlled exchange appropriate to the assignment.

A practical example

Giving a family member an operational role does not itself transfer shares or title to business assets. Document the intended authority and ownership changes separately.

For example, a family member taking over day-to-day operations may need defined spending authority and reporting responsibilities while existing owners retain their interests. The handover should describe those operating arrangements separately from any proposed future ownership transfer.

Scope and responsibilities

Wills, trusts, inheritance disputes and personal-law advice require specialist counsel. No tax exemption or binding settlement is assumed from a family understanding alone.

The proposal specifies the entities, periods, filings and coordination included. Client approval of factual statements and continuing operational responsibilities is recorded before implementation.

The completion pack can include the agreed ownership and responsibility maps, executed business documents and a list of remaining specialist actions. It should identify who maintains mandates and governance records after the change. A family reorganisation plan is not itself evidence that every asset or authority has transferred.
