Separate the two obligations
The AOC-4 family concerns filing financial statements and associated documents. MGT-7 is the annual return; MGT-7A is the abridged annual return prescribed for OPCs and small companies. Completion of the accounts filing does not complete the annual return.
Maintain a filing matrix with one row for each obligation, identifying the financial year, applicable form, source documents, signatory and completion evidence. Keep income-tax returns outside this matrix or identify them explicitly as a separate obligation.
Determine the company classification
Record the company’s legal class, ownership relationships, capital and turnover information relevant to the applicable definition. Assess small-company status under the rules effective for the relevant period, including exclusions; a low turnover figure alone is not enough.
Do not confuse a small company under company law with an enterprise holding Udyam registration. Those classifications have different purposes. Retain a short applicability note explaining the annual-return form selected.
Select the accounts filing variant
Assess whether standalone and consolidated financial statements are required and whether the applicable filing uses XBRL or a sector-specific variant. Review the accounting framework, company category and current MCA instructions before choosing the form.
For example, a company with a subsidiary may need a consolidation assessment even if the standalone business is modest. Do not select the same accounts form as last year without considering acquisitions, disposals or changes in status.
Prepare the accounts filing pack
- Final signed financial statements for the correct period.
- Auditor’s report and the relevant board report documents.
- Approval and adoption records, with actual dates.
- Consolidation workings and group information where applicable.
- Required attachments and applicable form-specific disclosures.
- A reconciliation between form figures and the signed statements.
Prepare the annual return pack
- Company particulars and registered-office information.
- Member, share-capital and ownership records.
- Director and key managerial personnel information as applicable.
- Meeting, attendance and other required annual disclosures.
- Changes during the reporting period and supporting event filings.
- Applicable certification and authorised signing arrangements.
Calculate deadlines from the right facts
Keep the financial-year end, AGM due date, actual AGM date and any valid extension distinct. Assess the filing deadlines under the provisions applicable to the company, including OPC treatment and cases where an AGM was not held or accounts were not adopted.
Do not enter an invented AGM date to make a form validate. Record the actual position and identify the appropriate filing procedure. A relaxation in additional fees should not automatically be described as a change to the underlying legal deadline.
Reconcile before submission
Compare dates, company classification, capital and financial figures across both filing packs. Resolve inconsistencies with the underlying records before signing. Keep a record of the calculation or source for fields that require judgement.
After submission, retain the signed form, attachments, payment receipt, service request number and final portal status. Track resubmission requests separately and preserve a version history of corrections.
Review dormant or inactive operations
No revenue does not establish that annual filing obligations cease. Assess the company’s actual legal status and the requirements that apply to it, rather than relying on an informal description such as inactive.
Kosha.Services can help prepare the applicability matrix and reconcile the accounts and annual-return records. Provide prior filings, current ownership, signed accounts and meeting records so that the selected forms and dates can be checked together.
