Approach and deliverables
We review whether the proposed company or LLP closure is consistent with its assets, creditors, disputes and filing position. Strike-off, liquidation and a simple cessation of trading have different consequences.
Support can include an eligibility question list, account reconciliation, stakeholder document pack and filing coordination. Tax registrations, bank accounts and record retention are tracked separately from the entity’s registry status.
- Establish the entity’s actual financial and operating position.
- Identify outstanding obligations and the route questions they raise.
- Prepare the agreed evidence and decision documents after those questions are assessed.
- Coordinate the selected application work and retain the outcome record.
Keep unresolved facts visible before declarations are prepared. The work plan should distinguish a missing document from a debt, dispute or continuing activity that needs substantive resolution.
Records to prepare
- Entity documents and filing history
- Latest accounts and asset-liability schedule
- Creditor, employee and litigation details
- Bank accounts, tax registrations and approvals
Include receivables, deposits, guarantees, balances with owners and costs still being incurred. Reconcile bank records to the accounts and identify any assets held outside the main premises. List pending correspondence and applications even where no recent trading has taken place.
A practical example
An inactive company with an unresolved creditor balance should not be treated as ready for a routine closure application merely because it has stopped issuing invoices.
For the creditor example, record the amount, supporting agreement, dispute status and evidence of any settlement. The closure schedule should show the action required and responsible person rather than remove the balance solely to make an application pack appear complete.
Scope and responsibilities
Closure is not a guaranteed release of liabilities. Company and LLP procedures differ; current eligibility and required declarations must be confirmed before signing or filing.
The proposal specifies the entities, periods, filings and coordination included. Client approval of factual statements and continuing operational responsibilities is recorded before implementation.
The handover separates submitted applications, authority queries, completed outcomes and remaining registration or banking work. It identifies where originals are stored and who will handle later correspondence. The registration surrender service addresses separately scoped permissions and tax-registration actions.
